These Terms & Conditions ("Terms") govern your access to and use of the AURYEX website, the AURORA™ intelligence platform, and any Answer Engine Optimization (AEO) services we provide. By accessing our website or engaging our services, you agree to be bound by these Terms.
1. Description of Services
AURYEX provides Answer Engine Optimization services, including AI Vulnerability Audits, AEO strategy development, content and authority architecture, and ongoing AI Share of Voice monitoring via our proprietary AURORA™ platform. Specific deliverables, timelines, and scope for any engagement are defined in a separate signed service agreement or statement of work ("SOW").
2. Eligibility
Our services are intended for businesses, organizations, and professionals acting in a commercial capacity. By using our services, you represent that you are at least 18 years of age and have the authority to bind your organization to these Terms.
3. Engagement & Service Agreements
Where a formal SOW or service agreement is signed, its specific terms govern in the event of any conflict with these general Terms. Standard engagement terms include:
- Audits are typically delivered within 48 hours of kickoff, unless otherwise specified.
- Strategy and execution phases follow the timeline outlined in your SOW.
- Either party may request scope adjustments in writing, which may affect fees and timelines.
4. Payment Terms
Unless otherwise agreed in writing, engagements follow a 50% advance / 50% on completion payment structure. Invoices are due upon receipt unless alternate terms are specified in your agreement. Late payments may result in suspension of services and accrue interest at the maximum rate permitted by applicable law.
5. No Guarantee of Specific Results
Important: While AURYEX uses proven methodologies to improve AI Share of Voice, we cannot guarantee specific rankings, mentions, or outcomes within AI platforms, as these are controlled by third-party companies (OpenAI, Google, Perplexity, Anthropic, xAI, etc.) whose algorithms and training processes are outside our control and subject to change without notice.
Any performance metrics, projections, or case studies referenced on our website or in proposals are illustrative of past client outcomes and do not constitute a guarantee of similar results for your business.
6. Intellectual Property
All content, strategy frameworks, methodologies, software, and materials developed by AURYEX, including the AURORA™ platform and its underlying technology, remain the exclusive intellectual property of AURYEX unless explicitly transferred in writing. Clients receive a license to use deliverables (such as content, reports, and strategy documents) for their own business purposes following full payment.
7. Acceptable Use
You agree not to:
- Use our services for any unlawful purpose or to misrepresent your brand, products, or claims to AI platforms.
- Attempt to reverse-engineer, scrape, or replicate the AURORA™ platform or its underlying methodology.
- Submit false, defamatory, or infringing content for inclusion in any AEO strategy or audit.
- Resell or sublicense our services without prior written consent.
8. Third-Party AI Platforms
Our services involve monitoring and influencing how third-party AI platforms (including but not limited to ChatGPT, Gemini, Perplexity, Claude, Grok, Copilot, and Meta AI) present information. AURYEX is not affiliated with, endorsed by, or responsible for the policies, algorithms, or content moderation decisions of these platforms. Any changes made by these platforms to their models or policies may affect the visibility outcomes we are working to influence.
9. Confidentiality
Both parties agree to keep confidential any non-public business, strategic, or technical information disclosed during the engagement, using the same degree of care used to protect their own confidential information, and to use such information solely for purposes of the engagement.
10. Termination
Either party may terminate an active engagement in accordance with the notice period specified in the applicable SOW. Upon termination, the client remains responsible for payment of fees for work performed up to the termination date. Sections relating to intellectual property, confidentiality, and limitation of liability survive termination.
11. Limitation of Liability
To the maximum extent permitted by law, AURYEX shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising out of or related to your use of our services. Our total liability for any claim arising from these Terms shall not exceed the total fees paid by you to AURYEX in the twelve (12) months preceding the claim.
12. Indemnification
You agree to indemnify and hold harmless AURYEX, its officers, employees, and partners from any claims, damages, or expenses (including reasonable legal fees) arising from your breach of these Terms, misuse of our services, or violation of any applicable law or third-party right.
